These Terms of Purchase govern your subscription purchase on the DealWorthIt website. By completing your purchase, you agree to these terms. If you do not agree, please do not proceed with your subscription.

1. ACCEPTANCE OF TERMS

By completing your purchase with DealWorthIt ("Seller," "we," "us," or "our"), you ("Buyer," "you") agree to be bound by these Terms of Purchase. Your purchase constitutes your acknowledgment that you have read, understood, and accepted these terms in full.

2. SUBSCRIPTION BILLING TERMS

DealWorthIt offers subscription-based services under the following billing plans:

2.1 Monthly Plan
If you select the monthly subscription, the subscription fee will be charged to your designated payment method each month on the same billing date until you cancel your subscription per Section 4.

2.2 Yearly Plan
If you select the yearly subscription, the subscription fee will be charged once per year on the anniversary of your subscription until you cancel.

3. PAYMENT TERMS & FAILED PAYMENTS

3.1 Payment Authorization
By providing your payment details, you confirm that you are authorized to use the chosen payment method and authorize DealWorthIt to charge the applicable subscription fee on a recurring basis.

3.2 Failed Payments & Account Suspension
If your payment fails, we will automatically retry the charge multiple times over a short period.
If the payment remains unsuccessful after multiple attempts, your account will be automatically suspended until payment is received.
If payment is not received within seven (7) days of the first failed attempt, your subscription will be canceled and you will lose access to your account.

4. CANCELLATION AND RENEWAL

4.1 Cancellation by You
You may cancel your subscription at any time via your account settings or by following the instructions provided on our website.
Cancellation prevents future charges but does not issue refunds for previously paid periods.
Upon cancellation, you will retain access until the end of the current billing cycle and will not be charged thereafter.

4.2 Automatic Renewal
All subscriptions automatically renew at the end of each billing cycle unless you cancel before the renewal date.
For annual plans, we will send a renewal reminder at least 30 days before your subscription renews.

5. NO REFUNDS POLICY

All subscription sales are final. Once a subscription is activated, you waive the right to refunds, returns, exchanges, or cancellations, except where required by law.

Refunds may be issued only in cases of billing errors, duplicate charges, or other situations required by applicable laws.

6. NO CHARGEBACKS

You agree not to initiate chargebacks or disputes through your bank, credit card issuer, or payment provider.

If you dispute a valid charge, DealWorthIt reserves the right to pursue legal action and recover chargeback fees, legal costs, and other associated expenses.

7. MODIFICATIONS TO SERVICE & PRICING

DealWorthIt may modify, suspend, or discontinue any part of the subscription service at any time.

We will provide at least 30 days' notice for material service modifications.

If you do not agree with service modifications, your sole remedy is to cancel before your next billing cycle.

8. LIABILITY LIMITATIONS & USER INDEMNIFICATION

8.1 Limitation of Liability
To the maximum extent permitted by law:

DealWorthIt is not liable for indirect, incidental, special, punitive, or consequential damages resulting from the use of our services.
Our total liability shall not exceed the amount you paid for the subscription.

8.2 User Indemnification
You agree to indemnify, defend, and hold DealWorthIt harmless from any claims, damages, legal fees, or losses arising from:

Misuse of the platform,
Violation of these Terms,
Unlawful activities related to your subscription.

9. DISPUTE RESOLUTION & GOVERNING LAW

9.1 Governing Law
These Terms of Purchase are governed by the laws of Delaware, USA without regard to conflict-of-law principles.

9.2 Dispute Resolution (Binding Arbitration)
If a dispute arises, both parties agree to attempt resolution through good faith negotiations first.
If unresolved, disputes will be settled via binding arbitration under the American Arbitration Association's Commercial Arbitration Rules.
Arbitration will be conducted in Delaware in English, and the decision will be final and enforceable in any court of jurisdiction.

9.3 Small Claims Exception
Either party may bring an individual action in small claims court for disputes within the court's jurisdiction.

10. PRIVACY POLICY & DATA PROTECTION

Your use of our services is also governed by our Privacy Policy, which outlines how we collect, use, and protect your data.

By subscribing, you consent to the data practices described in our Privacy Policy.

11. INTELLECTUAL PROPERTY RIGHTS

All content, features, and software of DealWorthIt remain the exclusive property of DealWorthIt or its licensors.

Users are granted a limited, non-exclusive, non-transferable license to use the service for personal, non-commercial purposes only.

12. FORCE MAJEURE

DealWorthIt is not liable for service interruptions due to unforeseen events, including but not limited to:

Natural disasters,
Pandemics,
Government actions,
Power failures,
Internet outages beyond our control.

13. ASSIGNMENT OF RIGHTS

You may not transfer or assign your subscription or rights under these Terms without prior written consent from DealWorthIt.

DealWorthIt may assign these Terms without notice.

14. ELECTRONIC COMMUNICATIONS

By subscribing, you consent to receive all communications (including billing notices, service updates, and account alerts) electronically.

15. INTERNATIONAL USERS

If you access our services from outside the United States, you are responsible for compliance with local laws.

All transactions are processed in U.S. Dollars, and you are responsible for any currency conversion fees.

16. ACCOUNT MANAGEMENT

16.1 Account Creation & Responsibility
You may need to create an account to access your subscription.
You are responsible for maintaining account security and all activity under your account.

16.2 Account Suspension & Termination
DealWorthIt may suspend or terminate accounts for violations of these Terms, fraudulent activity, or abuse of services.

18. NOTIFICATION PERIOD

By completing your purchase, you acknowledge that you have read and agree to be bound by these Terms of Purchase.
